These Terms and Conditions ("Terms") govern access to and use of the website, mobile application, and services operated by VENDA PORTAL L.L.C (VENDA Electronic Trading Hub L.L.C), a limited liability company duly incorporated and registered in the Emirate of Dubai, United Arab Emirates, under Trade License No. 1579792 issued by the Department of Economy and Tourism – Dubai (hereinafter referred to as the "Company", "Venda", or the "Platform").
تحكم هذه الشروط والأحكام ("الشروط") الوصول إلى موقع الويب والتطبيق المحمول والخدمات التي تديرها VENDA بورتال ش.ذ.م.م (VENDA مجمع للتعامل الإلكتروني ش.ذ.م.م)، شركة ذات مسؤولية محدودة مسجلة في إمارة دبي، الإمارات العربية المتحدة، بموجب الترخيص التجاري رقم 1579792 الصادر عن دائرة الاقتصاد والسياحة – دبي (يشار إليها فيما يلي بـ "الشركة" أو "VENDA" أو "المنصة").

Definitions: "Platform" means the Venda website, app, and related digital services. "User" means any individual or entity accessing or using the Platform. "Buyer" means a user purchasing products. "Supplier" means third-party sellers listing products. "Visitor" means one accessing without an account. "Products" means goods listed by suppliers. "Delivery Services" means logistics and fulfillment by suppliers or partners.
التعاريف: "المنصة" تعني موقع VENDA وتطبيقها وخدماتها الرقمية. "المستخدم" أي فرد أو كيان يصل أو يستخدم المنصة. "المشتري" مستخدم يشتري منتجات. "المورد" بائعون مستقلون يعرضون منتجات. "الزائر" من يصل دون حساب. "المنتجات" البضائع المعروضة من الموردين. "خدمات التوصيل" اللوجستيات والتنفيذ من الموردين أو الشركاء.
By accessing or using the Platform, you confirm that you have read, understood, and agree to be bound by these Terms. If you do not agree, you must discontinue use immediately. Venda may update these Terms at any time; continued use after changes constitutes acceptance.
بالوصول إلى المنصة أو استخدامها، فإنك تؤكد أنك قرأت وفهمت ووافقت على الالتزام بهذه الشروط. في حال عدم الموافقة، يجب التوقف عن الاستخدام فوراً. يجوز لVENDA تحديث هذه الشروط في أي وقت؛ استمرار الاستخدام بعد التحديثات يعني القبول.
1 Nature of the Platformطبيعة المنصة
Venda operates as an online marketplace connecting independent suppliers and buyers. The Platform provides digital infrastructure for suppliers to list products and buyers to place orders. Venda does not manufacture, own inventory, or act as seller; all products are listed and sold by independent suppliers. Suppliers are solely responsible for product authenticity, legality, safety, quality, descriptions, labeling, pricing, stock, fulfillment, and legal compliance. Venda is a technology intermediary only; the contract of sale is between buyer and supplier. Venda does not guarantee product availability, quality, or supplier reliability.
تعمل VENDA كسوق إلكتروني يربط الموردين والمشترين المستقلين. توفر المنصة البنية الرقمية لعرض المنتجات وطلبها. VENDA لا تصنع ولا تمتلك مخزوناً ولا تتدخل كبائع؛ جميع المنتجات معروضة وتباع من قبل الموردين. الموردون وحدهم مسؤولون عن أصالة المنتج وقانونيته وسلامته وجودته ووصفه وتوسيمه وأسعاره ومخزونه والتنفيذ والامتثال القانوني. VENDA وسيط تقني فقط؛ عقد البيع بين المشتري والمورد. VENDA لا تضمن توفر المنتج أو جودته أو موثوقية المورد.
2 Acceptance of Termsقبول الشروط
By using the Platform, you acknowledge that these Terms are a legally binding agreement with VENDA PORTAL L.L.C. You must review them before use. If you disagree, discontinue use immediately. Venda may update the Terms for operational, regulatory, or legal reasons; modifications are effective upon publication.
باستخدام المنصة، فإنك تقر بأن هذه الشروط اتفاقية ملزمة قانوناً مع VENDA بورتال ش.ذ.م.م. يجب مراجعتها قبل الاستخدام. في حال الاختلاف، توقف عن الاستخدام فوراً. يجوز لVENDA تحديث الشروط لأسباب تشغيلية أو تنظيمية أو قانونية؛ التعديلات سارية عند النشر.
3 User Eligibilityأهلية المستخدم
Users must be at least 18 years old, have legal capacity to enter into contracts, and comply with UAE laws. Users registering on behalf of a company confirm they have authority to bind that entity. Venda may suspend or terminate accounts that do not meet eligibility.
يجب أن يكون المستخدمون بعمر 18 سنة على الأقل، ولديهم الأهلية القانونية لإبرام العقود، والامتثال لقوانين الإمارات. من يسجل نيابة عن شركة يؤكد أنه مخول بربط تلك الجهة. يجوز لVENDA تعليق أو إنهاء الحسابات غير المستوفية للأهلية.
4 Account Registrationتسجيل الحساب
Certain features require registration. Users must provide accurate and complete information and keep it up to date. Venda may refuse or cancel accounts where information is incomplete, misleading, or inaccurate.
بعض الميزات تتطلب التسجيل. يجب على المستخدمين تقديم معلومات دقيقة وكاملة والحفاظ على تحديثها. يجوز لVENDA رفض أو إلغاء الحسابات ذات المعلومات الناقصة أو المضللة أو غير الدقيقة.
5 Account Securityأمن الحساب
Users are responsible for keeping credentials confidential and not sharing them. All activity through an account is the account holder's responsibility. Users must notify Venda immediately of suspected unauthorized access. Venda is not liable for losses from unauthorized use.
المستخدمون مسؤولون عن حفظ بيانات الدخول سراً وعدم مشاركتها. كل نشاط عبر الحساب يتحمله صاحب الحساب. يجب إخطار VENDA فوراً بأي وصول غير مصرح به. VENDA غير مسؤولة عن الخسائر الناتجة عن الاستخدام غير المصرح.
6 Identity Verification (KYC)التحقق من الهوية (KYC)
Venda may request identity verification documents (e.g. ID, passport, trade license, company registration, VAT certificate, proof of address) during registration, compliance checks, fraud investigations, or for regulatory requirements. Failure to provide requested documentation may result in account suspension or termination.
يجوز لVENDA طلب وثائق التحقق من الهوية (مثل الهوية، الجواز، الترخيص التجاري، سجل الشركة، شهادة ضريبة القيمة المضافة، إثبات العنوان) أثناء التسجيل أو فحوصات الامتثال أو التحقيقات الاحتيالية أو لمتطلبات تنظيمية. عدم تقديم الوثائق المطلوبة قد يؤدي إلى تعليق أو إنهاء الحساب.
7 Ordersالطلبات
Orders are purchase requests to suppliers. They are confirmed only when payment is authorized and the supplier confirms availability. Venda may cancel orders due to stock shortages, incorrect pricing, suspected fraud, regulatory restrictions, or system errors.
الطلبات طلبات شراء موجهة للموردين. تُؤكد فقط عند إتمام تفويض الدفع وتأكيد المورد التوفر. يجوز لVENDA إلغاء الطلبات بسبب نقص المخزون أو تسعير خاطئ أو احتيال مشتبه به أو قيود تنظيمية أو أخطاء نظام.
8 Paymentsالمدفوعات
Payments are processed through licensed third-party payment providers. Venda does not store card data or process card transactions directly. All transactions use secure gateways. Venda is not liable for authorization failures, banking interruptions, gateway errors, or processing delays.
تتم المعاملات عبر مزودي دفع طرف ثالث مرخصين. VENDA لا تخزن بيانات البطاقات ولا تعالج المعاملات مباشرة. جميع المعاملات عبر بوابات آمنة. VENDA غير مسؤولة عن فشل التفويض أو انقطاع الخدمات المصرفية أو أخطاء البوابة أو التأخير.
9 Chargebacks and Payment Disputesالمرتجعات والنزاعات المالية
If a chargeback occurs, Venda may suspend the account, investigate, restrict access, and recover costs. Fraudulent chargebacks may result in permanent termination.
في حال حدوث مرتجع، يجوز لVENDA تعليق الحساب والتحقيق وتقييد الوصول واسترداد التكاليف. المرتجعات الاحتيالية قد تؤدي إلى إنهاء دائم.
10 Fraud Preventionمنع الاحتيال
Venda may use automated systems to detect fraud and may delay orders, cancel suspicious transactions, request verification, or hold transactions for investigation, without prior notice.
قد تستخدم VENDA أنظمة آلية لكشف الاحتيال وقد تؤخر الطلبات أو تلغي المعاملات المشبوهة أو تطلب التحقق أو تحجز المعاملات للتحقيق، دون إشعار مسبق.
11 Pricing and Platform Commissionالتسعير وعمولة المنصة
Suppliers may provide base prices, but Venda reserves the right to set the final selling price. Venda may apply service fees, operational fees, logistics fees, and commission. Any difference between supplier base price and displayed price is platform commission belonging to Venda. Suppliers may not request disclosure or claim any portion of this margin.
قد يقدم الموردون أسعاراً أساسية، لكن VENDA تحتفظ بحق تحديد السعر النهائي. قد تطبق VENDA رسوماً خدمية وتشغيلية ولوجستية وعمولة. أي فرق بين السعر الأساسي وسعر العرض هو عمولة المنصة وتعود لVENDA. لا يحق للموردين طلب الكشف أو المطالبة بأي جزء من هذه الهوامش.
12 Delivery Servicesخدمات التوصيل
Delivery may be by suppliers, logistics partners, or third-party delivery companies. Displayed delivery times are estimates only and may be affected by preparation, traffic, weather, operations, or holidays. Users must provide accurate delivery details; failure may result in failed attempts and additional fees.
التوصيل قد يكون من الموردين أو شركاء لوجستيين أو شركات توصيل. أوقات التوصيل المعروضة تقديرية فقط وقد تتأثر بالإعداد أو المرور أو الطقس أو التشغيل أو العطل. يجب على المستخدمين تقديم تفاصيل توصيل دقيقة؛ الفشل قد يؤدي لمحاولات فاشلة ورسوم إضافية.
13 Transfer of Riskانتقال المخاطر
Risk of loss or damage transfers to the buyer once the order is handed to the delivery provider. Venda is not responsible for damage after that point.
ينتقل خطر الفقدان أو التلف إلى المشتري بمجرد تسليم الطلب لمقدم التوصيل. VENDA غير مسؤولة عن الأضرار بعد تلك النقطة.
14 Returns and Refundsالمرتجعات والاسترداد
Returns and refunds are governed by the Platform Refund Policy. Eligibility may depend on supplier policies, product condition, and UAE consumer protection regulations. Refunds are processed via the original payment method where applicable.
المرتجعات والاسترداد تحكمها سياسة الاسترداد الخاصة بالمنصة. الأهلية قد تعتمد على سياسات المورد وحالة المنتج ولوائح حماية المستهلك في الإمارات. تتم المعالجة عبر طريقة الدفع الأصلية حيثما أمكن.
15 Promotionsالعروض الترويجية
Venda may offer promotions. Venda reserves the right to cancel orders or suspend accounts where promotional abuse is detected.
قد تقدم VENDA عروضاً ترويجية. تحتفظ VENDA بحق إلغاء الطلبات أو تعليق الحسابات عند اكتشاف إساءة استخدام العروض.
16 Supplier Verificationالتحقق من الموردين
Venda may require suppliers to provide trade license, regulatory approvals, ID, VAT certificate. Failure to provide requested documentation may result in removal from the Platform.
يجوز لVENDA طلب تقديم الترخيص التجاري والموافقات التنظيمية والهوية وشهادة ض.ق.م. عدم تقديم الوثائق المطلوبة قد يؤدي إلى الإزالة من المنصة.
17 Supplier Complianceامتثال الموردين
Suppliers must comply with UAE laws including food safety, labeling, municipality, consumer protection, and VAT. Suppliers are fully responsible; Venda bears no liability for supplier violations.
يجب على الموردين الامتثال لقوانين الإمارات بما فيها سلامة الأغذية والتوسيم والبلدية وحماية المستهلك وض.ق.م. الموردون مسؤولون بالكامل؛ VENDA لا تتحمل مسؤولية مخالفات الموردين.
18 Supplier Tax Responsibilityالمسؤولية الضريبية للموردين
Suppliers are responsible for tax reporting, VAT compliance, and issuing invoices. Venda bears no responsibility for supplier tax obligations.
الموردون مسؤولون عن الإبلاغ الضريبي والامتثال لض.ق.م وإصدار الفواتير. VENDA لا تتحمل مسؤولية الالتزامات الضريبية للموردين.
19 Product Safetyسلامة المنتجات
Venda may remove products and suspend suppliers if safety concerns arise.
يجوز لVENDA إزالة المنتجات وتعليق الموردين إذا نشأت مخاوف تتعلق بالسلامة.
20 Listing Removalإزالة القوائم
Venda may remove listings that violate UAE law, contain misleading information, pose safety risks, or violate Platform policies.
يجوز لVENDA إزالة القوائم التي تنتهك قانون الإمارات أو تحتوي معلومات مضللة أو تشكل مخاطر سلامة أو تنتهك سياسات المنصة.
21 Intellectual Propertyالملكية الفكرية
All IP (trademarks, logos, software, design) associated with the Platform belongs to VENDA PORTAL L.L.C. Unauthorized use is prohibited.
جميع الملكية الفكرية (العلامات والشعارات والبرمجيات والتصميم) المرتبطة بالمنصة مملوكة لVENDA بورتال ش.ذ.م.م. الاستخدام غير المصرح به ممنوع.
22 Platform Monitoringمراقبة المنصة
Venda may monitor activity for fraud prevention, compliance, security, and enforcement. Monitoring may include automated systems and manual review of account activity, transactions, listings, and interactions, in accordance with applicable laws.
يجوز لVENDA مراقبة النشاط لمنع الاحتيال والامتثال والأمن وإنفاذ الشروط. قد تشمل المراقبة أنظمة آلية ومراجعة يدوية للنشاط والمعاملات والقوائم والتفاعلات، وفقاً للقوانين المعمول بها.
23 Platform Availabilityتوفر المنصة
The Platform is provided "as-is" and "as-available". Venda does not guarantee uninterrupted availability. Interruptions may occur due to maintenance, upgrades, failures, third-party issues, or connectivity. Venda is not liable for losses from interruptions.
تقدم المنصة "كما هي" و"حسب التوفر". VENDA لا تضمن توفراً دون انقطاع. قد يحدث انقطاع بسبب الصيانة أو التحديثات أو الأعطال أو مشكلات الطرف الثالث أو الاتصال. VENDA غير مسؤولة عن الخسائر الناتجة عن الانقطاعات.
24 Platform Securityأمن المنصة
Users must not compromise Platform security. Prohibited activities include bypassing security, unauthorized access, introducing malware, or automated scraping. Violation may result in immediate account suspension.
يجب ألا يعرض المستخدمون أمن المنصة للخطر. الأنشطة المحظورة تشمل تجاوز الأمان أو الوصول غير المصرح أو إدخال برمجيات خبيثة أو الاجتثاث الآلي. المخالفة قد تؤدي إلى تعليق فوري للحساب.
25 Absolute Platform Discretionالتقدير المطلق للمنصة
Venda reserves absolute right to manage the Platform for stability, compliance, or business reasons, including modifying features, restricting access, removing listings, canceling transactions, or suspending/terminating accounts. Such decisions do not constitute breach or create liability.
تحتفظ VENDA بالحق المطلق في إدارة المنصة من أجل الاستقرار أو الامتثال أو أسباب تجارية، بما في ذلك تعديل الميزات أو تقييد الوصول أو إزالة القوائم أو إلغاء المعاملات أو تعليق/إنهاء الحسابات. مثل هذه القرارات لا تشكل خرقاً ولا تخلق مسؤولية.
26 Operational Decisionsالقرارات التشغيلية
Operational decisions for fraud prevention, compliance, security, maintenance, or business continuity are not wrongful interference. Users acknowledge such decisions may affect services.
القرارات التشغيلية لمنع الاحتيال أو الامتثال أو الأمن أو الصيانة أو استمرارية الأعمال لا تعتبر تدخلاً خاطئاً. يقر المستخدمون بأن مثل هذه القرارات قد تؤثر على الخدمات.
27 Marketplace Liability Limitationحد مسؤولية السوق
Venda operates only as a technology marketplace. Venda is not responsible for supplier conduct, product defects, legality, safety, or quality. Suppliers remain fully responsible. Venda bears no liability for buyer-supplier disputes.
تعمل VENDA فقط كسوق تقنية. VENDA غير مسؤولة عن سلوك الموردين أو عيوب المنتجات أو قانونيتها أو سلامتها أو جودتها. الموردون يبقون مسؤولين بالكامل. VENDA لا تتحمل مسؤولية النزاعات بين المشترين والموردين.
28 No Circumventionعدم الالتفاف
Users and suppliers must not bypass the Platform to conduct transactions outside it that originated from Platform connections (e.g. contacting buyers off-Platform to avoid fees). Violation may result in suspension, removal, or legal action.
يجب على المستخدمين والموردين عدم الالتفاف على المنصة لإجراء معاملات خارجها ناتجة عن اتصالات عبر المنصة (مثل الاتصال بالمشترين خارج المنصة لتجنب الرسوم). المخالفة قد تؤدي إلى تعليق أو إزالة أو إجراء قانوني.
29 Third-Party Servicesخدمات الطرف الثالث
The Platform may integrate payment gateways, logistics, delivery partners, and cloud providers. Venda does not control them and is not liable for their interruptions, delays, or errors.
قد تدمج المنصة بوابات الدفع واللوجستيات وشركاء التوصيل ومزودي السحابة. VENDA لا تتحكم بها ولا تتحمل مسؤولية انقطاعاتها أو تأخيراتها أو أخطائها.
30 Limitation of Liabilityحد المسؤولية
To the maximum extent permitted by law, Venda is not liable for indirect, incidental, consequential damages, loss of profits, or business opportunities. Total liability shall not exceed the greater of the relevant order value or AED 500, regardless of legal theory.
إلى أقصى حد يسمح به القانون، VENDA غير مسؤولة عن الأضرار غير المباشرة أو العرضية أو التبعية أو خسارة الأرباح أو الفرص التجارية. لا تتجاوز المسؤولية الإجمالية قيمة الطلب المعني أو 500 درهم، أيهما أكبر، بغض النظر عن النظرية القانونية.
31 Indemnificationالتعويض
Users and suppliers agree to indemnify VENDA PORTAL L.L.C, its officers, employees, and affiliates from claims, damages, losses, or expenses arising from breach of Terms, misuse, supplier product defects, or violation of laws, including reasonable legal costs.
يوافق المستخدمون والموردون على تعويض VENDA بورتال ش.ذ.م.م ومسؤوليها وموظفيها والجهات التابعة عن المطالبات أو الأضرار أو الخسائر أو النفقات الناتجة عن خرق الشروط أو سوء الاستخدام أو عيوب منتجات الموردين أو انتهاك القوانين، بما في ذلك التكاليف القانونية المعقولة.
32 Regulatory Complianceالامتثال التنظيمي
Venda may restrict services, suspend accounts, remove listings, or disclose information where required by UAE laws, regulators, court orders, or government directives. Users acknowledge that compliance may require disclosure.
يجوز لVENDA تقييد الخدمات أو تعليق الحسابات أو إزالة القوائم أو الكشف عن معلومات عندما يقتضي ذلك قوانين الإمارات أو المنظمون أو أوامر المحكمة أو التوجيهات الحكومية. يقر المستخدمون بأن الامتثال قد يتطلب الكشف.
33 Communication Consentموافقة الاتصالات
Users agree to receive communications regarding order confirmations, service updates, security notifications, and regulatory communications via email, in-app notifications, or other digital channels.
يوافق المستخدمون على استلام الاتصالات المتعلقة بتأكيدات الطلبات وتحديثات الخدمة وإشعارات الأمن والاتصالات التنظيمية عبر البريد أو إشعارات التطبيق أو قنوات رقمية أخرى.
34 Data Retentionالاحتفاظ بالبيانات
Venda may retain user information and transaction records for operational, regulatory, or legal defense purposes, in accordance with UAE laws.
يجوز لVENDA الاحتفاظ بمعلومات المستخدمين وسجلات المعاملات لأغراض تشغيلية أو تنظيمية أو الدفاع القانوني، وفقاً لقوانين الإمارات.
35 Modification of Termsتعديل الشروط
Venda may modify these Terms at any time. Updated Terms are published on the Platform. Continued use after updates constitutes acceptance.
يجوز لVENDA تعديل هذه الشروط في أي وقت. تُنشر الشروط المحدثة على المنصة. استمرار الاستخدام بعد التحديثات يعني القبول.
36 Suspension Without Noticeالتعليق دون إشعار
Venda may suspend or terminate accounts without prior notice in cases of suspected fraud, security threats, Terms violations, or regulatory requirements. Suspension may be immediate to protect the Platform.
يجوز لVENDA تعليق أو إنهاء الحسابات دون إشعار مسبق في حالات الاحتيال المشتبه به أو التهديدات الأمنية أو خرق الشروط أو متطلبات تنظيمية. قد يكون التعليق فورياً لحماية المنصة.
37 No Partnershipعدم الشراكة
Nothing in these Terms creates a partnership, joint venture, agency, or employment relationship between Venda and any user or supplier.
لا ينشئ أي شيء في هذه الشروط شراكة أو مشروعاً مشتركاً أو وكالة أو علاقة عمل بين VENDA وأي مستخدم أو مورد.
38 Force Majeureالقوة القاهرة
Venda is not liable for delays or failures caused by events beyond its reasonable control, including natural disasters, power failures, internet disruptions, government restrictions, or armed conflicts.
VENDA غير مسؤولة عن التأخير أو الفشل الناتج عن أحداث خارجة عن سيطرتها المعقولة، بما في ذلك الكوارث الطبيعية وانقطاع الكهرباء وانقطاع الإنترنت والقيود الحكومية أو النزاعات المسلحة.
39 Electronic Agreementالاتفاقية الإلكترونية
Acceptance of these Terms by electronic means constitutes a legally binding agreement. Electronic records are admissible as evidence.
قبول هذه الشروط بالوسائل الإلكترونية يشكل اتفاقية ملزمة قانوناً. السجلات الإلكترونية قابلة للقبول كدليل.
40 Severabilityالقابلية للفصل
If any provision is held invalid or unenforceable, the remaining provisions remain in full force and effect.
إذا اعتُبر أي حكم باطلاً أو غير قابل للتنفيذ، تبقى الأحكام المتبقية سارية بالكامل.
41 Governing Lawالقانون الحاكم
These Terms are governed by and interpreted in accordance with the laws of the United Arab Emirates.
تخضع هذه الشروط وتُفسر وفقاً لقوانين دولة الإمارات العربية المتحدة.
42 Dispute Resolutionحل النزاعات
Disputes arising from these Terms shall first be resolved through negotiation. If not resolved amicably, the matter may be submitted to arbitration in the United Arab Emirates in accordance with applicable arbitration laws.
يُحل أي نزاع ناشئ عن هذه الشروط أولاً عن طريق التفاوض. إذا لم يُحل ودياً، يجوز إحالة الأمر إلى التحكيم في الإمارات العربية المتحدة وفقاً لقوانين التحكيم المعمول بها.
